TERMS OF SERVICE

PLEASE READ THIS AGREEMENT CAREFULLY. IT SETS FORTH THE TERMS AND CONDITIONS CONCERNING YOUR USE OF THE U-ID WEB SITE AND SERVICES. BY OPENING AN ACCOUNT YOU HEREBY CONFIRM YOUR ACCEPTANCE OF, AND YOUR AGREEMENT TO BE BOUND BY, ALL THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT. 1. PARTIES

This is an agreement between you and U-ID.

2. SERVICES OFFERED

U-ID offers its users digital information products and services. The services are provided to you under the Terms Of Service contained herein and in any operating rules or policies published from time to time by U-ID. To use the service, you must complete the registration process, choose a password for your account, and then U-ID will assign you an account number. You are entirely responsible for maintaining the confidentiality of your account and password. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify U-ID immediately of any unauthorized use of your account or any other breach of security.

3. MODIFICATIONS TO SERVICES

U-ID reserves the right to modify or discontinue, permanently or temporarily, any aspect of the services for any reason, at its sole discretion, with or without notice to you. U-ID shall not be liable to you or any third party should U-ID exercise its right to modify or discontinue any or all aspects of the service.

4. MODIFICATIONS OF THE AGREEMENT

U-ID may from time to time change the terms of this agreement with or without notice to you. Any amendment shall be effective immediately when posted to this area of the site without notice. Your continued use of the services following the posting of any such modification constitutes an affirmative (a) acknowledgment by you of the agreement as amended; and (b) agreement by you to abide and be bound by the agreement as modified.

5. FEES

Each user agrees to pay all the fees charged by U-ID. U-ID reserves the right to change its pricing policy in the future, with or without prior notice to you. We provide a 30 days money-back guarantee.

6. INFORMATION PROVIDED

In consideration of the services offered, each user agrees to (a) provide current, complete, and accurate information about the user when prompted to do so; and (b) maintain and update your information as required to keep it current, complete and accurate. U-ID is not responsible for the accuracy of any user information. If any user information that you provide is untrue, inaccurate, not current or incomplete, U-ID has the right to issue a warning, temporarily suspend, or terminate your membership and to refuse any and all current or future use of the services. You acknowledge that you are responsible for the user materials that you provide, and that you, not U-ID, have full responsibility for the user materials, including their legality, reliability, appropriateness, originality and copyright.

7. USER CONDUCT

Each user of the services is solely responsible for the contents of his or her transmissions on the site, and use of the site is subject to all applicable local, state, national, and international laws and regulations.

8. DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT (A) YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVCIES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. U-ID DISCLIAMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. (B) U-ID MAKES NO WARRANTY THAT I. THE SERVICE WILL MEET YOUR REQUIREMENTS II. THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE III. THE RESULTS THAT MAY BE OBTAINED FORM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE IV. THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND V. ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED. (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. (D) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM U-ID OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS OF SERVICE.

9. LIMITATION OF LIABILITY

U-ID SHALL NOT BE LIABLE FOR ANY DAMAGES SUFFERED AS A RESULT OF THE PROVISION OF THE SERVICES OR OF ANY USE, MODIFICATION, CONTRIBUTION, COPYING, DISTRIBUTING, OR DOWNLOADING OF THE MATERIALS. IN NO EVENT SHALL U-ID BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE (INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS, REVENUE, PROFITS, USE, DATA OR OTHER ECONOMIC ADVANTAGE), HOWEVER IT ARISES, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE PROVISION OF THE SERVICES AND/OR THE USE OR PERFORMANCE OF INFORMATION AVAILABLE FROM, OR THE OPERATION OF, THIS WEB SITE, EVEN IF U-ID HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. YOU HAVE SOLE RESPONSIBILITY FOR THE ADEQUATE PROTECTION AND BACKUP OF DATA AND/OR EQUIPMENT USED IN CONNECTION WITH THE WEB SITE AND YOU WILL NOT MAKE A CLAIM AGAINST U-ID FOR LOST DATA, RE-RUN TIME, INACCURATE OUTPUT, WORK DELAYS, OR LOST PROFITS RESULTING FROM THE USE OF THE MATERIALS. YOU AGREE TO HOLD U-ID HARMLESS FROM, AND YOU COVENANT NOT OT SUE U-ID FOR ANY CLAIMS BASED ON OR RELATED TO THE USE OF THE WEB SITE.

10. INDEMNIFICATION

You hereby agree to indemnify and hold harmless U-ID, its parent, subsidiaries, affiliates, directors, officers, employees, and agents from and against any and all losses, liabilities, claims, suits, proceedings, demands, judgments, damages, expenses, costs (including without limitation reasonable attorneys' fees), fines, penalties, response costs, and costs of remediation incurred arising out of or in connection with your use of the services, your violation of the terms of this agreement, or the infringement by you or by any user of the site using your computer of any intellectual property or other right of any person or entity.

11. INTELLECTUAL PROPERTY NOTICES

This site and elements thereof are protected by copyright, trademark, trade dress and other laws, and may not be copied or imitated in whole or in part. No logo, graphic, sound, image, or text from the site may be copied or retransmitted unless expressly permitted by U-ID.

12. TERMINATION

Should you object to any of the terms contained herein or in any subsequent modifications or amendments thereto or become dissatisfied with the service in any way, your sole recourse is to immediately terminate your membership at U-ID. U-ID retains the right, exercisable at U-ID's sole discretion, to determine whether or not your conduct is consistent with the letter and spirit of this agreement and to terminate service to you at any time if your conduct is found to be inconsistent with the terms of this agreement.

13. SEVERABILITY

This agreement will be enforced to the fullest extent permitted by applicable law. If for any reason any provision of this agreement is held to be invalid or unenforceable under applicable law to any extent, then (a) such provision will be interpreted, construed or reformed to the extent reasonably required to render the same valid, enforceable and consistent with the original intent underlying such provision; and (b) such invalidity or un-enforceability will not affect any other provision of this agreement.
